Definitions
"Wagon Network" or "Wagon" – A platform that facilitates participation in tokenized real-world asset programs through transparent reporting and on-chain settlement. "WATX" – A token representing the holder’s participation rights to the Economic Benefits of a specific Program, as defined in the Program Terms. "Economic Benefits" – The economic entitlements under a Program, which may include net rental distributions, reserve allocations, and redemption proceeds as defined in the Program Terms. "Program" – A specific asset-backed offering on Wagon with its own asset details, cashflow waterfall, fees, risk disclosures, reporting cadence, and redemption rules. "Program Terms" – The specific terms applicable to a Program, including (without limitation) asset description, counterparties, fees, waterfall, reserves, redemption schedule, and collateral realization framework. "User" – Any individual or entity who accesses or uses the Wagon platform. "Token" – A blockchain token used within Wagon, including WATX, that represents rights and obligations under a Program. "Stablecoin" – A crypto asset pegged to a stable value (e.g., IDRX, USDT, USDC) supported by Wagon for participating in Programs. "Wallet" – A digital wallet used to store and manage crypto assets, which may be self-custodied or provided by third parties. "Distribution" – The allocation of net Program cashflow to token holders according to the Program waterfall and schedule. "Program Waterfall" – The order of allocation of gross cashflow, typically including taxes, program expenses, reserves (including depreciation reserve), and distributions, as specified in Program Terms. "Depreciation Reserve" – A portion of Program cashflow allocated to support principal redemption and reflect asset depreciation over time, as defined in Program Terms. "Redemption" – A mechanism to redeem/buy back Tokens under a Program based on the Program schedule and rules. "Secondary Market" – Any venue where Tokens may be transferred or traded peer-to-peer or via supported platforms, if available. "Collateral Asset" – The underlying real-world asset (e.g., a truck) designated to support the Program. The Collateral Asset is intended to provide value support through enforcement rights, including sale or other realization mechanisms, as defined in the Program Terms. "Collateral Realization" – The process of enforcing and realizing value from the Collateral Asset (e.g., repossession, sale, insurance claim, or other recovery actions), subject to applicable law and Program Terms. "Reports" – Periodic disclosures related to asset status, cash balances, and Program performance, which may include third-party attestations where available. "Third-Party Services" – External providers integrated into Wagon (e.g., wallet providers, analytics tools, identity verification).
