Please read these terms carefully before using Wagon Network.

Definitions

"Wagon Network" or "Wagon" – A platform that facilitates participation in tokenized real-world asset programs through transparent reporting and on-chain settlement. "WATX" – A token representing the holder’s participation rights to the Economic Benefits of a specific Program, as defined in the Program Terms. "Economic Benefits" – The economic entitlements under a Program, which may include net rental distributions, reserve allocations, and redemption proceeds as defined in the Program Terms. "Program" – A specific asset-backed offering on Wagon with its own asset details, cashflow waterfall, fees, risk disclosures, reporting cadence, and redemption rules. "Program Terms" – The specific terms applicable to a Program, including (without limitation) asset description, counterparties, fees, waterfall, reserves, redemption schedule, and collateral realization framework. "User" – Any individual or entity who accesses or uses the Wagon platform. "Token" – A blockchain token used within Wagon, including WATX, that represents rights and obligations under a Program. "Stablecoin" – A crypto asset pegged to a stable value (e.g., IDRX, USDT, USDC) supported by Wagon for participating in Programs. "Wallet" – A digital wallet used to store and manage crypto assets, which may be self-custodied or provided by third parties. "Distribution" – The allocation of net Program cashflow to token holders according to the Program waterfall and schedule. "Program Waterfall" – The order of allocation of gross cashflow, typically including taxes, program expenses, reserves (including depreciation reserve), and distributions, as specified in Program Terms. "Depreciation Reserve" – A portion of Program cashflow allocated to support principal redemption and reflect asset depreciation over time, as defined in Program Terms. "Redemption" – A mechanism to redeem/buy back Tokens under a Program based on the Program schedule and rules. "Secondary Market" – Any venue where Tokens may be transferred or traded peer-to-peer or via supported platforms, if available. "Collateral Asset" – The underlying real-world asset (e.g., a truck) designated to support the Program. The Collateral Asset is intended to provide value support through enforcement rights, including sale or other realization mechanisms, as defined in the Program Terms. "Collateral Realization" – The process of enforcing and realizing value from the Collateral Asset (e.g., repossession, sale, insurance claim, or other recovery actions), subject to applicable law and Program Terms. "Reports" – Periodic disclosures related to asset status, cash balances, and Program performance, which may include third-party attestations where available. "Third-Party Services" – External providers integrated into Wagon (e.g., wallet providers, analytics tools, identity verification).

Introduction

These Terms and Conditions ("Terms") govern your access to and use of Wagon Network ("Wagon"). Wagon enables Users to participate in tokenized real-world asset Programs (including WATX) and to access related reporting. By accessing or using Wagon, you agree to these Terms and our Privacy Policy.

Program-Specific Terms Prevail

Each Program has its own Program Terms. If there is any conflict between these Terms and a Program’s Program Terms, the Program Terms will prevail for that Program. You should read the applicable Program Terms carefully before participating.

Eligibility and Compliance

You must have the legal capacity to enter into a binding agreement. You are responsible for ensuring that your use of Wagon and participation in any Program complies with applicable laws and regulations in your jurisdiction, including restrictions related to investing, crypto assets, and sanctions. Wagon may restrict access in order to comply with legal, regulatory, or risk management requirements.

No Financial Advice

Wagon does not provide financial, legal, tax, or investment advice. Any projections, expected returns, examples, or analytics shown on the platform are illustrative and not guarantees. You are solely responsible for your decisions and should seek independent professional advice as needed.

Nature of WATX Token and Collateral

WATX is a token representing participation in the Economic Benefits of a specific Program. WATX does not represent direct legal title ownership of the physical asset unless explicitly stated in the Program Terms. Each Program designates one or more Collateral Assets intended to support the Program’s obligations and investor protection mechanisms. The rights, structure, and enforcement process over Collateral Assets (including Collateral Realization) are defined in the Program Terms and may involve operating partners and/or Third-Party Services. In adverse scenarios (including counterparty default, prolonged downtime, or operational incidents), value recovery may rely on Collateral Realization and/or insurance processes, and recoveries may be less than projected.

Wallet Access and Security

You are responsible for the security of your Wallet, including private keys, recovery phrases, and authorized access to your device/accounts. Wagon does not control your private keys and cannot recover lost keys. Wagon may integrate Third-Party Services (including wallet providers) to simplify onboarding. By using a third-party wallet provider: - You agree to the provider’s terms and privacy policy. - Wagon does not control or store your private keys. - You are solely responsible for wallet activities. - Wagon disclaims liability for losses caused by third-party vulnerabilities, outages, or compromises. We recommend enabling available security controls such as multi-factor authentication (MFA) and email verification.

Platform Use and Prohibited Activities

Wagon provides tools to access Program information, participate in Programs, and view Reports. You agree not to use Wagon for illegal activities, fraud, money laundering, terrorist financing, sanctions evasion, or market manipulation. You also agree not to attempt to disrupt the platform, exploit vulnerabilities, or interfere with other users. Wagon may suspend, restrict, or terminate access to protect users and comply with legal or regulatory requirements.

Stablecoins, On-Chain Transactions, and Finality

Wagon may support stablecoins such as IDRX, USDT, and USDC (subject to change). On-chain transactions are generally irreversible after confirmation. You are responsible for verifying recipient addresses, network selection, Program details, and transaction parameters before confirming any transaction. Wagon is not responsible for losses due to incorrect addresses, wrong networks, user error, or blockchain congestion/fees.

Participation in Programs and Acknowledgements

By participating in any Program, you acknowledge and agree that: - Program performance depends on real-world operations, asset uptime, counterparty performance, and external factors. - Distributions are not guaranteed and may vary. - The timing and amount of Distributions and/or Redemption depend on Program Terms and actual outcomes. - Liquidity may be limited, and Secondary Market availability is not guaranteed. - You are responsible for understanding the Program Terms, including fees, waterfall, reserves, and redemption rules. You participate at your own risk.

Program Waterfall, Distributions, and Depreciation Reserve

Each Program applies a defined Program Waterfall. Unless otherwise stated in Program Terms, cashflows are typically allocated in the following order: (i) applicable taxes, (ii) program expenses and operational costs, (iii) reserves (including Depreciation Reserve and other risk buffers, if any), and (iv) Distribution to token holders. A portion of cashflow may be allocated to a Depreciation Reserve to support principal redemption and reflect asset depreciation over time. The amount, method, and treatment of the Depreciation Reserve are defined in Program Terms and disclosed through Reports.

Redemption, Buyback, and Exit Mechanisms

Redemption and/or buyback mechanisms, if any, are defined per Program Terms and may include schedules, windows, quotas, pricing formulas, and eligibility criteria. Wagon does not guarantee that early redemption will be available. If a Secondary Market is supported, token prices may fluctuate and liquidity may be limited.

Secondary Market and Transfers

Tokens may be transferable subject to the Program Terms, technical constraints, compliance requirements, and applicable law. Secondary Market access, if provided, may be subject to additional terms, third-party rules, and availability. Wagon does not control prices or liquidity on secondary venues and disclaims responsibility for market outcomes.

Reporting and Transparency

Wagon may provide Reports that include Program performance summaries, cashflow details, reserve balances, and asset status updates. Some Reports may include third-party attestations where available. Reports are provided for transparency and do not constitute financial advice or guarantees of future performance.

Insurance and Incident Handling

Programs may include insurance coverage for Collateral Assets as described in Program Terms. Insurance outcomes depend on insurer terms, exclusions, claims processes, and incident specifics. Wagon does not guarantee claim approval or full recovery. Operational incidents may affect cashflow timing and Distributions.

Third-Party Services

Wagon integrates Third-Party Services such as wallet providers, analytics tools, identity verification, custodial/operational partners, or payment/settlement services. Wagon is not responsible for third-party downtime, performance issues, security vulnerabilities, or service changes. Your use of Third-Party Services may be subject to their own terms and privacy policies.

Data, Privacy, and Analytics

Wagon may collect and process data necessary to operate the platform and provide reporting, including Program-related operational data. Where applicable, data may be anonymized and shared for transparency, compliance, and analytics. Data handling practices are described in the Privacy Policy and may be updated from time to time.

Intellectual Property

All content, branding, software, and materials on Wagon are owned by Wagon or its licensors, except where otherwise stated. You may not copy, modify, distribute, reverse engineer, or exploit any part of Wagon without prior written consent, except as permitted by applicable law.

Disclaimers

Wagon is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Wagon disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Wagon does not guarantee uninterrupted access, error-free operation, or investment outcomes.

Limitation of Liability

To the maximum extent permitted by law, Wagon and its affiliates, directors, officers, employees, partners, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising from or related to your use of Wagon, participation in Programs, or reliance on Reports. Wagon is not liable for losses arising from blockchain risks, smart contract risks, market volatility, user error, third-party failures, force majeure events, or regulatory actions. Where liability cannot be excluded, it will be limited to the minimum amount required by applicable law.

Risk Disclosure

Participating in tokenized real-world asset Programs involves significant risks, including (without limitation): counterparty default, asset downtime, operational and maintenance risk, insurance exclusions, Collateral Realization risk, market and liquidity risk, valuation uncertainty, regulatory and tax changes, smart contract vulnerabilities, blockchain congestion/fees, and third-party service failures. Past performance or projections are not indicative of future results.

Suspension and Termination

Wagon may suspend or terminate your access if you violate these Terms, pose security/compliance risks, or if required by law or regulators. You may stop using Wagon at any time. Suspension/termination may not affect on-chain token ownership, which is governed by the blockchain and applicable Program Terms.

Amendments

Wagon may revise these Terms from time to time. Material changes will be communicated via the platform and/or other reasonable means. Continued use of Wagon after the effective date of updated Terms constitutes acceptance.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Indonesia. Any dispute arising out of or relating to these Terms or your use of Wagon shall be resolved through the competent courts of Indonesia, unless otherwise required by applicable law.

Acceptance of Terms

By using Wagon Network, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use the platform.
